MentEx
MentEx is the Mentawai One programme's private securities exchange — a curated marketplace for tokenised securities that provides accredited investors with structured liquidity access to otherwise illiquid private market assets. It is designed to occupy the same conceptual space as Nasdaq Private Market or Forge Global: enabling secondary trading in private company shares, SPV interests, and tokenised real assets without the full disclosure obligations and continuous trading requirements of a public exchange.
Curated Liquidity Windows
Unlike a continuous public exchange, MentEx operates on a curated window model — trading occurs on a quarterly or bi-annual basis, within defined windows that allow orderly price discovery without the volatility and information asymmetry risks associated with thin continuous markets in private securities. This structure is well-suited to real assets and infrastructure-linked securities where valuation is driven by operational performance rather than market sentiment.
Window timing is announced in advance, with pre-window disclosure packages provided to registered participants to enable informed pricing. All transactions within the window are settled at T+0 through blockchain settlement infrastructure, eliminating the counterparty and settlement risk associated with conventional private market transactions.
Technical Standards: ERC-3643 (T-REX)
All securities listed on MentEx are tokenised under the ERC-3643 standard — also known as T-REX (Token for Regulated EXchanges). This is the leading institutional-grade standard for compliant security tokens, providing on-chain identity verification, transfer restriction enforcement, and compliance rule embedding at the token contract level. ERC-3643 compliance means that transfer restrictions — including accredited investor requirements, jurisdictional limitations, and holding period rules — are enforced automatically by the token smart contract, not by manual back-office compliance processes.
Accredited investors only are permitted to participate, with identity verification and accreditation status managed through the GIBFC's Know Your Investor framework. This restricts MentEx participation to qualified parties while providing those parties with a level of settlement efficiency and transparency that conventional private market transactions cannot match.
ACTA Integration: Asian Corporate Trust Authority
MentEx is fully integrated with ACTA — the Asian Corporate Trust Authority — which functions as the programme's Digital Companies House: a blockchain-native company registry providing instant verification of corporate existence, share structure, beneficial ownership, and regulatory status for all entities listed on the exchange.
ACTA enables company incorporation within the SEZ in under four hours, with all corporate records stored immutably on-chain and accessible to verified counterparties in real time. For investors participating in MentEx, this means the due diligence process for corporate verification is reduced from weeks to minutes — a transformative efficiency gain for secondary market transactions in private securities where conventional registry searches can create significant delays.
